Terms and Conditions for Sellers

Payt World OÜ · Registry code 17623936 · Tallinn, Estonia

1. Introduction, Scope and Acceptance

These Terms and Conditions (the "Terms") form a legally binding agreement between each individual person or legal entity ("You", "Your", or "Supplier") and Payt World OÜ, a private limited company duly incorporated and existing under the laws of Estonia, with its registered address at Tartu mnt 67/1-13b, Kesklinna linnaosa, Tallinn, Harju maakond, 10115, Estonia ("PAYT", "we", "our", or "us").

These Terms apply whenever a Supplier makes a digital product or service available through the Platform, or otherwise uses the Services in connection with the Merchant of Record model PAYT operates. The PAYT platform is available at https://paytworld.com and any subdomain, application, integration, API, or affiliated website (collectively, the "Platform"). For convenience, the Platform and every related feature, tool and service — including a payment flow, product management, and a platform service — are collectively referred to as the "Services".

Please read these Terms together with our Privacy Policy, Acceptable Use Policy, Advertising & Media Policy, and any other policy incorporated by reference, as they govern Your relationship with PAYT as a supplier of digital content or a service, regardless of how You access or use the Services.

Merchant of Record model. PAYT acts as Merchant of Record and as the seller vis-à-vis a Buyer for every digital product and service offered through the Services. A Supplier does not sell a product or service directly to a Buyer. There is no momentary or "flash" transfer of title: any ownership of a product, or a licence to access digital content, transfers directly from PAYT to the Buyer. A Supplier acts solely as an independent provider of content or a service to PAYT under this Merchant of Record structure.

Fulfilment of a digital product and service. PAYT may rely on a Supplier for the operational execution, delivery or performance of a digital product, educational content, or a service. Notwithstanding an outsourcing or delegation of this kind, PAYT remains solely and fully responsible to the Buyer for fulfilment, a refund, a chargeback, and a consumer-facing obligation. The Supplier's contractual relationship regarding fulfilment exists exclusively with PAYT, and not with the Buyer.

By creating an account, submitting content or a service for distribution, enabling a product or service for sale through the Platform, or otherwise using the Services, You acknowledge and agree to be bound by these Terms and every applicable PAYT policy. If You do not agree to these Terms, You must not use the Services or make a product or service available through the Platform.

You represent and warrant that You are of legal age and have full legal capacity to enter into a binding agreement under applicable law. If You act on behalf of a company or other legal entity, You represent and warrant that You hold the authority to bind that entity to these Terms, and a reference to "You" or "Your" then refers to that entity.

2. Changes to These Terms or the Services

We may revise these Terms from time to time, at our sole discretion and without prior notice. The most current version is made available on the Platform, and You are responsible for reviewing the Terms before using the Services. Your continued use of the Services after an updated version becomes effective constitutes Your acceptance of that change. Because the Services are continuously evolving, PAYT may modify, suspend or discontinue all or part of the Services at any time, with or without notice.

3. Feedback

We welcome a comment, an idea, a proposal or a suggestion to improve the Services ("Feedback"). If You choose to submit Feedback, You agree that PAYT may use it without restriction or compensation to You.

4. Seller Accounts and Registration of Products or Services

If You are a seller — a merchant, a mentor, or a content provider among them — You may create an account and register a digital product or service for offering through the Platform. By creating an account and registering a product or service, You represent and warrant that every piece of information You provide is truthful, accurate and complete, and that You are not misrepresenting Your identity.

PAYT may review a seller's information and determine, at its sole discretion, whether to grant or maintain access to the Services, enable a product, or issue a payout. PAYT may remove, disable or delete a product or service at any time, with or without notice, for a reason that includes risk, compliance, content, or a policy consideration.

You are responsible for keeping Your account credential confidential and for every activity conducted through Your account, and You agree to promptly notify PAYT of an unauthorised access or a security breach.

5. Seller and Supplier Responsibilities

In addition to another obligation these Terms set out, a seller agrees to:

(a) ensure it owns or holds the right, licence and permission necessary to offer and deliver its product or service and every related material;

(b) ensure that a product or service description, claim, and disclosure is accurate and not misleading;

(c) deliver the digital content or mentorship as described and provide reasonable support consistent with the offer;

(d) comply with applicable law and regulation connected with consumer protection, intellectual property, privacy, advertising, and the nature of the content provided;

(e) promptly inform PAYT of a material complaint or issue relating to a product, promotion, or advertisement;

(f) not present itself, directly or indirectly, as the seller, merchant, contracting party, or payment recipient vis-à-vis a Buyer, and not represent that it sells a product or service directly to a Buyer — the Supplier acknowledges that Payt World OÜ is the sole Merchant of Record and seller vis-à-vis the Buyer for every transaction conducted through the Platform; and

(g) not collect or receive a payment from a Buyer, not issue an invoice, receipt or billing document to a Buyer, and not manage, initiate, respond to or otherwise handle a chargeback, payment dispute, or refund request — every payment process, invoicing step, refund, chargeback management, and dispute resolution is conducted exclusively by Payt World OÜ, as sole Merchant of Record.

6. Compliance Obligations of the Supplier

The Supplier represents, warrants and undertakes that every Product, Service, content, material, marketing practice and activity made available through the Platform complies, at all times, with applicable law, regulation and industry standard, including, without limitation:

(i) consumer-protection and unfair-commercial-practice law;

(ii) data-protection and privacy law, including the GDPR, where applicable;

(iii) advertising, marketing and endorsement regulation, including a transparency and disclosure requirement;

(iv) an anti-fraud, anti-money-laundering (AML) and counter-terrorism-financing (CTF) rule, to the extent it applies to the Supplier's activity; and

(v) every internal policy, guideline and compliance standard PAYT has established, including the Acceptable Use Policy, the Advertising & Media Policy, and another policy made available through the Platform.

The Supplier must not engage in an act or omission that could cause PAYT, as Merchant of Record, to violate applicable law, a payment-network rule, or a regulatory requirement, nor expose PAYT to a financial loss, a chargeback, a penalty, a fine, a sanction, or reputational harm. The Supplier is solely responsible for ensuring that its Product, Service, content and marketing practice is lawful, accurate, non-misleading and compliant, and acknowledges that PAYT relies on this representation in operating the Merchant of Record model.

7. Withholding and Offsets

Where You breach these Terms, or PAYT reasonably suspects a breach, PAYT may withhold, delay or offset an amount otherwise payable to a seller, or deduct a previously paid amount from a future payout, to cover an actual or potential loss, liability, fee, cost, or expense arising from that breach, a dispute, a refund, a chargeback, or a compliance requirement. This withholding is in addition to another right or remedy available to PAYT.

8. Right of Recourse Against the Supplier

The Supplier acknowledges and agrees that, as Merchant of Record, Payt World OÜ may incur a loss, cost, liability, penalty, fine, fee, chargeback, refund, dispute, or another expense arising from or connected with the Supplier's Product, Service, content, conduct, omission, or non-compliance with these Terms, applicable law, a payment-network rule, or PAYT's internal policy.

The Supplier agrees to fully indemnify, reimburse and hold harmless Payt World OÜ against every such loss, including, without limitation, a chargeback amount, a refund amount, a penalty a payment network imposes, a regulatory fine, an operational cost, a dispute-management fee, a legal cost, and a reasonable attorney's fee. Payt World OÜ may exercise recourse against the Supplier by deducting, withholding, offsetting or otherwise recovering such an amount from a current or future payout payable to the Supplier, without prejudice to another contractual, legal or equitable remedy available to Payt World OÜ. This right of recourse applies regardless of the termination or expiration of these Terms and survives accordingly.

9. Temporary Inaccessibility

Owing to the nature of an online service, PAYT does not guarantee uninterrupted availability of the Services; availability may be restricted by a capacity limit, a security consideration, maintenance, an update, or an improvement. To the extent applicable law permits, PAYT is not liable for an interruption caused by a force majeure event or a circumstance beyond its reasonable control.

10. Prohibited Conduct and Enforcement

You agree not to engage in conduct that violates applicable law, infringes a third party's right, circumvents a security measure, uses unauthorised automation, distributes malware or spam, or otherwise interferes with the integrity or proper functioning of the Services. PAYT may monitor, investigate, remove or disable access to content or an account to ensure compliance with these Terms and an applicable legal obligation.

11. General Prohibitions and PAYT's Enforcement Rights

As a Seller or Supplier, You agree that You shall not, directly or indirectly:

11.1 use, display, mirror, extract, scrape, copy, index, frame, or otherwise exploit the Services, the Platform, PAYT's name, trademark, logo, proprietary information, interface, layout, or content made available through the Services, except as PAYT expressly authorises in writing;

11.2 access, tamper with, interfere with, or use a non-public area of the Platform, PAYT's system, or the technical infrastructure of PAYT's service provider;

11.3 attempt to probe, scan, test, or compromise the vulnerability, integrity, or security of a PAYT system, network, or authentication mechanism;

11.4 circumvent, disable, bypass, remove, or otherwise interfere with a technological, security, risk, or fraud-prevention measure PAYT, its payment partner, or a service provider implements;

11.5 use an automated tool, bot, scraper, crawler, or similar technology to access, extract data from, or interact with the Services, except through an interface PAYT expressly authorises;

11.6 send or distribute unsolicited, deceptive, or unauthorised advertising, spam, a chain message, or a promotional communication connected with the Platform or a Product;

11.7 use hidden text, metadata, a tag, or a keyword that improperly references PAYT, its trademark, or a branding element without PAYT's prior written consent;

11.8 use the Services for a purpose outside the scope these Terms expressly permit, including for the benefit of an unauthorised third party;

11.9 manipulate transaction data, a header, an identifier, or source information in a deceptive, misleading, or fraudulent manner;

11.10 reverse-engineer, decompile, disassemble, or attempt to derive the source code or underlying structure of software used to provide the Services;

11.11 interfere or attempt to interfere with the proper functioning of the Services, including by introducing malware, a virus, a system overload, spam, or a similar activity;

11.12 collect, store, process, or use a Buyer's or another user's personal data outside the scope PAYT and applicable data-protection law expressly authorise;

11.13 misrepresent Your identity, business, qualification, affiliation, or relationship with PAYT, including suggesting an endorsement, a partnership, or a certification that does not exist;

11.14 offer, list, or make available a Product or Service without holding every necessary intellectual-property right, licence, authorisation, and legal permission;

11.15 use, reproduce, or distribute copyrighted content, a trademark, an image, a testimonial, a review, or a marketing material unless You are the rights holder or hold valid legal authorisation;

11.16 violate applicable law, regulation, a payment-network rule, or a compliance requirement, including one on consumer protection, advertising, data protection, anti-money laundering, or fraud; or

11.17 encourage, enable, or assist a third party to engage in conduct this Section prohibits.

12. Indemnification

You agree to defend, indemnify and hold harmless PAYT and its affiliate against a claim, damage, loss, liability, cost, and expense arising out of or connected with Your use of the Services, Your product or content (where You are a seller), or Your breach of these Terms.

13. Intellectual Property

The Services — every piece of software, interface, design, trademark and content PAYT owns — are and remain the exclusive property of PAYT and its licensor. Subject to these Terms, PAYT grants You a limited, non-exclusive, non-transferable and revocable licence to access and use the Services solely for the purpose these Terms permit.

14. General Provisions

You may not assign or transfer a right or an obligation under these Terms without PAYT's prior written consent; an attempted assignment in breach of this provision is void. PAYT's failure to enforce a right or a provision of these Terms does not constitute a waiver of future enforcement. If a provision of these Terms is held invalid or unenforceable, the remaining provision stays in full force and effect. These Terms constitute the entire agreement between You and PAYT regarding the Services and supersede a prior agreement or understanding.

15. Termination

These Terms take effect once You first accept them or begin using the Services, whichever happens first. PAYT may suspend or terminate Your access to the Services, disable a product, or terminate these Terms, where You fail to comply with a provision of these Terms or as applicable law otherwise permits. A provision that by its nature should survive termination does survive it, including a payment-related provision, a disclaimer, a limitation of liability, an indemnification, and an intellectual-property right.

16. Survival

The following provision survives a termination or expiration of these Terms: a confidentiality obligation, a limitation of liability, an indemnification obligation, and the governing-law provision.

17. Governing Law and Jurisdiction

These Terms are governed by, and construed in accordance with, the laws of the Republic of Estonia, without regard to its conflict-of-laws principle.
