1. Introduction, Scope and Acceptance
These Terms and Conditions (the "Terms") form a legally binding agreement between each individual person or legal entity ("You", "Your", or "Buyer") and Payt World OÜ, a private limited company duly incorporated and existing under the laws of Estonia, with its registered address at Tartu mnt 67/1-13b, Kesklinna linnaosa, Tallinn, Harju maakond, 10115, Estonia ("PAYT", "we", "our" or "us"). These Terms apply whenever a Buyer accesses or uses the Platform.
The PAYT platform is available at https://paytworld.com and any subdomain, application, integration, API or affiliated website (collectively, the "Platform"). For convenience, the Platform and every related feature, tool and service — including a payment flow and a platform service — are collectively referred to as the "Services".
Please read these Terms together with our Privacy Policy carefully, as they govern the purchase of a product or service and the use of the Services, regardless of how You access them (including by computer, mobile device, or otherwise), whether directly through the Services or through a third-party website that links to them, and regardless of whether You are registered as a buyer.
PAYT acts as Merchant of Record and as the seller vis-à-vis the Buyer for every digital product and service offered through the Services. When You purchase a product or service through the Platform, You purchase it directly from PAYT. There is no momentary or "flash" transfer of title: ownership of the product, or the applicable licence to access digital content, transfers directly from PAYT to the Buyer upon delivery or access. An independent seller acts solely as a supplier of content or a service to PAYT.
PAYT may rely on an independent supplier (a "Supplier") for the operational execution, delivery or performance of a digital product, educational content, or a service made available through the Platform. Notwithstanding an outsourcing or delegation of this kind, PAYT, as Merchant of Record, remains solely and fully responsible to the Buyer for the proper fulfilment of the transaction — access, delivery, performance, support, a refund, and a consumer-related claim among them. The Buyer's contractual relationship regarding fulfilment is exclusively with PAYT.
By placing an order, creating an account, opting into a one-click purchase, or otherwise using the Services, You acknowledge and agree to be bound by these Terms and by the PAYT Privacy Policy, together with a policy incorporated by reference. If You do not agree to these Terms, You must not use the Services or complete a transaction through the Platform.
You represent and warrant that You are of legal age and have full legal capacity to enter into a binding agreement under applicable law. If You use the Services or purchase a product on behalf of a company or other legal entity, You represent and warrant that You hold the authority to bind that entity to these Terms, and a reference to "You" or "Your" then refers to that entity.
2. Changes to These Terms or the Services
We may revise these Terms from time to time, at our sole discretion and without prior notice. The most current version is made available on the Platform, and You are responsible for reviewing the Terms before using the Services or completing a purchase. Your continued use of the Services after an updated version becomes effective constitutes Your acceptance of that change. Because the Services are continuously evolving, PAYT may modify, suspend or discontinue all or part of the Services at any time, with or without notice.
3. Feedback
We welcome a comment, an idea, a proposal or a suggestion to improve the Services ("Feedback"). If You choose to submit Feedback, You agree that PAYT may use it without restriction or compensation to You.
4. Orders; Acceptance; Formation of Contract
Every purchase made through the Platform is made directly from Payt World OÜ, which acts as Merchant of Record and seller vis-à-vis the Buyer. If You are a buyer, Your order constitutes an offer to purchase the product or service listed in it, under these Terms.
Every order is subject to acceptance by PAYT. We may, at our sole discretion, refuse or limit an order, limit a quantity, extend a delivery timeline where reasonably necessary, or decline to complete a transaction. A purchase is deemed accepted once PAYT provides an order confirmation (by email or within the Platform) or once payment is successfully authorised, as applicable. PAYT is not liable where a product or service is unavailable, or where access is delayed, owing to a circumstance beyond its reasonable control.
5. Buyer Eligibility and Use
By placing an order, You represent and warrant that: (i) You are purchasing for Your own personal use and not for unauthorised resale or redistribution; and (ii) You will comply with every applicable law, rule and regulation connected with Your purchase, access and use of the product or service. You further represent that You hold the right to provide and use every piece of information, content and data You submit through the Services.
6. Privacy and One-Click Purchases
Our Privacy Policy governs the processing of personal data collected in connection with the Services. By using the Services, You consent to the processing of Your data as it describes.
Where available, a one-click purchase feature lets a buyer store personal and payment information to facilitate a future purchase through the Platform. By opting into this feature, the buyer expressly agrees to the collection, storage and use of that information for identification and checkout pre-filling purposes, in accordance with applicable data-protection law and the Privacy Policy.
7. Pricing, Availability, Payment and Cancellations
A price displayed through the Services is subject to change to the extent applicable law permits. PAYT may modify a price or an available offering, or discontinue a product or service, at any time, and is not responsible for a pricing or typographical error; it reserves the right to cancel an order resulting from one.
When You initiate a transaction through the Services, You authorise PAYT to charge the selected payment method and to share the payment information necessary to complete the transaction and prevent fraud with an authorised third party. Except as this Policy or another applicable policy expressly provides, an order is non-cancellable. PAYT may grant or deny a cancellation request at its discretion, and may cancel a payment or restrict a future transaction where fraud, unlawful activity or an excessive rate of dispute is suspected, or where a payment-network rule requires it.
8. Refunds, Disputes and Chargebacks
Before initiating a chargeback or another payment dispute with a bank, card issuer or payment institution, a Buyer is strongly encouraged to contact PAYT's customer support team at [email protected] and attempt to resolve the matter directly through the Platform.
PAYT acts as Merchant of Record and manages a chargeback or dispute in accordance with the applicable card-network rule and procedure, including one Visa, Mastercard or another payment scheme establishes. Initiating a chargeback without first contacting PAYT's support team may result in a delay, an additional review, or an outcome governed by the rules of the relevant payment network. In the event of a successful chargeback dispute, PAYT may retain a recovered amount to offset the operational cost associated with dispute management.
A refund is governed by PAYT's Refund Policy, which forms an integral part of these Terms. To request a refund or a cancellation where permitted, a buyer must contact [email protected] and provide the relevant detail; a request is reviewed within a reasonable timeframe.
9. Customer Support and Service Availability
PAYT provides customer support to a Buyer through its international support channel. For a matter connected with a purchase, access to a digital product or service, a refund, a chargeback, or a general enquiry, a Buyer may contact PAYT by:
- support email: [email protected]; and
- online chat, when available through the Platform.
PAYT maintains a commercially reasonable service-level target for its support operation, provided on a best-efforts basis and varying with the nature and complexity of the request, including a target first-response time of 5 minutes and an average resolution time of 10 minutes for a simple, straightforward request. A more complex request, investigation, or a case involving a third party, a Supplier, a financial institution, or a regulatory requirement may take additional time to resolve.
10. Temporary Inaccessibility
Owing to the nature of an online service, PAYT does not guarantee uninterrupted availability of the Services; availability may be restricted by a capacity limit, a security consideration, maintenance, an update, or an improvement. To the extent applicable law permits, PAYT is not liable for an interruption caused by a force majeure event or a circumstance beyond its reasonable control.
11. Prohibited Conduct and Enforcement
You agree not to engage in conduct that violates applicable law, infringes a third party's right, circumvents a security measure, uses unauthorised automation, distributes malware or spam, or otherwise interferes with the integrity or proper functioning of the Services. PAYT may monitor, investigate, remove or disable access to content or an account to ensure compliance with these Terms and an applicable legal obligation.
12. Third-Party Links
The Services may contain a link to a third-party website or resource, provided solely as a convenience. PAYT is not responsible for the content, product or service a third party makes available, and You assume every risk arising from its use.
13. Disclaimer
To the maximum extent applicable law permits, the Services and every digital product or service made available through the Platform are provided on an "as is" and "as available" basis, without a warranty of any kind, whether express, implied, statutory or otherwise. PAYT expressly disclaims an implied warranty of merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment, and any warranty arising from a course of dealing, a usage of trade, or a course of performance.
PAYT does not warrant that the Services will be uninterrupted, error-free, secure, or free of a harmful component, nor that a content, product or service will meet a Buyer's expectation or specific requirement. Some jurisdictions do not allow the exclusion of a warranty of this kind; in such a case, the exclusion above may not apply to You, and Your right is limited to the maximum extent applicable law permits.
14. Limitation of Liability
To the maximum extent applicable law permits, PAYT, its affiliate, Supplier, service provider, officer, director or employee is not liable, in any event, for an indirect, incidental, special, consequential, exemplary or punitive damage — including a lost profit, revenue, business opportunity, data, goodwill, or service interruption — arising out of or connected with the use of, or the inability to use, the Services or a product or service purchased through the Platform.
To the maximum extent the law permits, PAYT's total aggregate liability arising out of or relating to these Terms, the Services, or a transaction does not exceed the total amount the Buyer actually paid PAYT for the applicable product or service in the twelve (12) months immediately preceding the event giving rise to the claim. The limitation this Section sets out forms an essential basis of the agreement between You and PAYT.
15. Intellectual Property
The Services — every piece of software, interface, design, trademark and content PAYT owns — are and remain the exclusive property of PAYT and its licensor. Subject to these Terms, PAYT grants You a limited, non-exclusive, non-transferable and revocable licence to access and use the Services solely for the purpose these Terms permit.
16. General Provisions
You may not assign or transfer a right or an obligation under these Terms without PAYT's prior written consent; an attempted assignment in breach of this provision is void. PAYT's failure to enforce a right or a provision of these Terms does not constitute a waiver of future enforcement. If a provision of these Terms is held invalid or unenforceable, the remaining provision stays in full force and effect. These Terms constitute the entire agreement between You and PAYT regarding the Services and supersede a prior agreement or understanding.
17. Termination
These Terms take effect once You first accept them or begin using the Services, whichever happens first. PAYT may suspend or terminate Your access to the Services, disable a product, or terminate these Terms, where You fail to comply with a provision of these Terms or as applicable law otherwise permits. A provision that by its nature should survive termination does survive it, including a payment-related provision, a disclaimer, a limitation of liability, an indemnification, and an intellectual-property right.
18. Governing Law and Jurisdiction
These Terms are governed by, and construed in accordance with, the laws of the Republic of Estonia, without regard to its conflict-of-laws principle.
